Primary document: SEC 8-K: AbbVie (Allergan Aesthetics) filed a material event · Filed: 2026-11-02

AbbVie told the Securities and Exchange Commission that Jennifer L. Davis, a Class II director, will leave its board effective November 2, 2026. The disclosure sits in an AbbVie 8-K filed November 2, 2026, under Item 5.02, which covers changes in directors and certain officers. Davis gave notice to the board on October 28.

Davis, a Class II director, will leave its board effective November 2, 2026.

The reason she gave is a new job. Davis was recently named chief executive officer at Align Technology, Inc. The filing says her departure is not the result of any dispute or disagreement with AbbVie over its operations, policies or practices. That language is standard for a resignation like this, and nothing in the filing suggests otherwise.

The 8-K is short. It has one substantive item, a single paragraph under Item 5.02, and it carries no compensation terms, no committee changes and no statement from the board. Perry C. Siatis, AbbVie's executive vice president, general counsel and secretary, signed it for the company.

Why an aesthetics operator should care

Align is the company behind Invisalign clear aligners and the iTero intraoral scanners that many aesthetic practices now use alongside, or instead of, traditional impressions. A sitting AbbVie director moving into the top job at Align is a small signal about where one of the industry's biggest pharma companies sees its board talent and its ties to the device side of the chair. Read it as a personnel note, not a deal.

AbbVie owns Allergan Aesthetics, which makes Botox Cosmetic, Juvederm and CoolSculpting. Davis's seat is on the parent's board, not on any Allergan Aesthetics operating unit, and the filing does not say anything about the aesthetics business. If you buy Botox or filler, nothing in this 8-K changes your pricing, your allocation or your rep coverage.

The filing also tells you what did not happen. AbbVie did not announce a reorganization, a product change or a leadership move at Allergan Aesthetics. Those would have shown up in a different filing, or in a press release, and the 8-K contains none of them.

What owners can do

Nothing is required of you by this filing. Still, three things are worth doing this week.

Check your Align relationship. If you run iTero scanners or order Invisalign through a doctor portal, expect the new CEO to set priorities that may shift product, training or pricing. Ask your account rep in writing what changes, if anything, are coming and when.

Check your AbbVie and Allergan account terms. Board changes at the parent do not touch contract terms, but your rep is the person who can confirm current pricing and rebate schedules. Get those in writing before your next reorder.

Keep a dated file of any vendor communications on these leadership changes. Owners who have been through a supplier shake-up know the paperwork matters more than the press release.

What we don't know yet

The filing does not name a replacement for Davis on the AbbVie board, and it does not say whether the board intends to fill the seat. It also does not say when Davis starts at Align, or whether any strategy change at Align is planned. Those answers will come from AbbVie's next proxy materials or from Align's own announcements, not from this document.
